Chapter 1 – Governance Principles
1.1 Purpose
Agundiz Design S.C. is committed to maintaining the highest standards of governance, accountability, integrity, and transparency in all humanitarian, environmental, and community development activities.
The organization's governance framework is designed to ensure responsible leadership, ethical decision-making, effective risk management, sound financial stewardship, and continuous improvement while advancing its mission to develop resilient, climate-adaptive housing solutions for vulnerable communities.
The Governance Framework has been developed in accordance with applicable Mexican laws and regulations and is informed by internationally recognized good governance practices, adapted to the legal structure, mission, and operational model of Agundiz Design S.C.
1.2 Governance Principles
The governance framework is guided by the following principles:
Principle 1 – Legal Compliance and Institutional Responsibility
The organization operates in accordance with all applicable laws, regulations, contractual obligations, and internal policies. Governance bodies are responsible for ensuring legal compliance, ethical conduct, and institutional accountability.

They are implemented through the organization's Governance Manual, Code of Ethics, operational policies, financial controls, risk management procedures, health and safety standards, environmental policies, construction quality requirements, and monitoring, evaluation, accountability, and learning (MEAL) framework.
Chapter 2 – Governance Structure and Responsibilities
2.1 Purpose
This chapter defines the governance structure of Agundiz Design S.C. and establishes the responsibilities, authority, and accountability of its governing and management bodies. The governance structure is designed to ensure transparent leadership, sound decision-making, effective oversight, and responsible stewardship of organizational resources.

3.4 Policy Compliance
Compliance with organizational policies is mandatory for directors, managers, employees, consultants, contractors, volunteers, and any individual acting on behalf of Agundiz Design S.C. Failure to comply may result in corrective or disciplinary action in accordance with applicable procedures.
3.5 Continuous Improvement

The organization is guided by internationally recognized principles of good governance and seeks to implement those principles through its own policies, procedures, and management systems.
Where a governance practice is not directly applicable because of the organization's legal structure, operational model, or humanitarian activities, Agundiz Design S.C. shall adopt an alternative approach that achieves the same objectives of accountability, transparency, ethical leadership, responsible stewardship, and effective oversight.
The Governance Framework shall be reviewed periodically to reflect organizational growth, operational experience, legal requirements, emerging risks, and evolving international good practices. Any significant adaptations shall be documented and supported by a clear rationale to ensure continued transparency and accountability.
